Techruze.com provides a range of services including, but not limited to, web development, software solutions, and Customer Relationship Management (CRM) systems. Our CRM services are designed to enhance customer engagement and streamline communications. We reserve the right to modify or discontinue any service at any time without prior notice.
3.1 Ownership: All intellectual property rights related to the services, documentation, and any enhancements made shall remain with Techruze.com. You are granted a limited, non-exclusive license to use our services for your personal or internal business purposes only.
3.2 Use of Customer Marks: You retain all rights to your trademarks and branding ("Customer Marks"). You grant us a limited license to use your Marks in our promotional materials to represent you as a client.
You agree to use our services in compliance with all applicable laws and regulations. You shall not engage in any activities that may harm our services, interfere with other users, or infringe upon the rights of others.
All fees for our services are due upon receipt of the invoice unless otherwise agreed in writing. Late payments may be subject to interest or late fees as specified in the invoice. In case of payment failure, access to services may be restricted.
Our CRM platform allows for the storage, organization, and management of customer data to facilitate customer engagement. We use Google authentication to allow access to users' Google accounts for CRM functions, including sending and receiving emails on behalf of users.
Techruze.com collects only the data necessary for CRM operations. Any data collected through Google authentication is used solely for CRM functions and is processed in compliance with applicable data privacy regulations.
To enable effective CRM functionalities, Techruze.com requests certain permissions through Google authentication. These permissions include, but may not be limited to, the following scopes:
By granting these permissions, you authorize Techruze.com to access and utilize your Google account data for CRM functions only, such as customer communication, task management, and email tracking.
8.1 Either party may terminate this Agreement by providing written notice if the other party fails to fulfill any material obligation under this Agreement and does not remedy such failure within thirty (30) days of receiving notice.
8.2 Upon termination, you must immediately cease all use of our services and return or destroy any confidential information belonging to Techruze.com.
You agree to indemnify, defend, and hold harmless Techruze.com, its affiliates, and employees from any claims, losses, or damages arising from your violation of this Agreement or your use of our services.
Under no circumstances shall Techruze.com be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or usage. Our total liability shall not exceed the amount paid by you for the services in the six (6) months prior to the occurrence of the claim.
This Agreement shall be governed by and construed in accordance with the laws of India.
In the event of any dispute, the parties shall make reasonable efforts to resolve it amicably. If the dispute cannot be resolved, it shall be submitted to arbitration in India in accordance with the rules of the Indian Arbitration Association.
13.1 If any provision of this Agreement is deemed unenforceable, the remaining provisions shall continue to be valid and enforceable.
13.2 This Agreement represents the entire understanding between you and Techruze.com regarding your use of our services, superseding all prior agreements and understandings.
13.3 All notices must be in writing and will be considered duly given upon receipt.
